These Terms & Conditions (“Terms”) govern access to and use of the ScriptFinder.ai website and services (the “Service”) operated by ScriptFinder.ai (“ScriptFinder,” “we,” “us,” or “our”). By accessing or using the Service, or by authorizing users to access or use the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization (a “Customer”), you represent and warrant that you have authority to bind that organization, and “you” refers to that organization.
If you do not agree to these Terms, do not use the Service.
1) Scope and Intended Use
The Service is designed for internal development workflows of studios, production companies, and other professional organizations. The Service is not a public submission platform, marketplace, or promotional service.
No Unsolicited Submissions. ScriptFinder does not solicit or accept unsolicited creative submissions for evaluation, acquisition, packaging, or representation. Any access provided to individuals or organizations is for internal use under these Terms and any applicable written agreement between ScriptFinder and the Customer.
2) Service Description
The Service enables authorized users to upload or input creative materials (including, for example, screenplays, pitch documents, and related content) and receive AI-assisted analytical outputs, such as standardized coverage reports, summaries, structured metadata, comparative tables, and similar decision-support artifacts (“Outputs”).
Outputs are informational. Outputs are provided to support internal discussion and workflow efficiency. ScriptFinder does not act as a producer, studio, agent, manager, attorney, or fiduciary, and does not provide legal advice.
3) No Decision-Making; Human Judgment Required
ScriptFinder does not make creative, business, or greenlight decisions. The Service does not recommend acquisition, production, or distribution decisions, and any use of Outputs in decision-making is solely at the Customer’s discretion and responsibility.
4) Accounts and Authorized Users
Access to the Service may require accounts. Customers are responsible for:
ensuring only authorized personnel access the Service;
maintaining the confidentiality of credentials;
activity that occurs under their accounts.
You agree not to share credentials or permit unauthorized access.
We may suspend or disable accounts where we reasonably believe there has been unauthorized access, a security incident, or a violation of these Terms.
5) Customer Content
5.1 Definition
“Customer Content” means all files, materials, text, data, prompts, and other content submitted to the Service by or on behalf of Customer, including any personal data contained therein.
5.2 Ownership
As between ScriptFinder and Customer, Customer retains all right, title, and interest in and to Customer Content. ScriptFinder does not claim ownership in Customer Content.
5.3 License to Process
Customer grants ScriptFinder a limited, non-exclusive license to host, process, transmit, and analyze Customer Content solely to:
provide and maintain the Service;
generate Outputs for Customer; and
operate and secure the Service.
ScriptFinder will not sell Customer Content.
5.4 Rights to Submit
Customer represents and warrants that it has all rights and permissions necessary to submit Customer Content to the Service and to authorize ScriptFinder to process it as described herein.
6) AI-Assisted Processing and Model Training
6.1 AI Limitations
Outputs are generated using automated and AI-assisted methods. Outputs may be incomplete, incorrect, or inconsistent. Customer is responsible for reviewing Outputs and making its own independent assessments.
6.2 No Training on Customer Content by Default
Unless expressly agreed in a separate written agreement, ScriptFinder will not use Customer Content to train or fine-tune generalized models for use by other customers.
7) Confidentiality
Customer Content and Outputs are intended for Customer’s internal use and may be confidential.
Customer agrees not to:
publicly disclose Outputs as if they were ScriptFinder endorsements;
share Outputs externally except as necessary for internal business purposes or as permitted in a written agreement.
ScriptFinder will implement reasonable administrative, technical, and organizational measures intended to protect Customer Content from unauthorized access, consistent with industry practices.
8) Acceptable Use
You agree not to:
use the Service for unlawful purposes;
upload content you do not have rights to submit;
attempt to reverse engineer, scrape, probe, or disrupt the Service;
introduce malware or interfere with system integrity;
use Outputs to create or train competing products via systematic extraction.
We may suspend or terminate access for violations of this Section.
9) Intellectual Property
9.1 ScriptFinder IP
The Service (including software, workflows, schemas, templates, and underlying methods) and all related intellectual property are owned by ScriptFinder and its licensors.
9.2 Outputs
As between ScriptFinder and Customer, and subject to payment (if applicable), Customer may use Outputs internally for its business purposes. ScriptFinder retains all rights in the Service and its underlying technology.
10) Third-Party Services
The Service may integrate or rely on third-party services (including cloud hosting and AI model providers). ScriptFinder is not responsible for third-party services beyond its contractual obligations, and third-party terms may apply.
11) Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIPTFINDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SCRIPTFINDER DOES NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT USE OF THE SERVICE WILL ACHIEVE ANY PARTICULAR RESULT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SCRIPTFINDER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
SCRIPTFINDER’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO SCRIPTFINDER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR USD $10,000 IF NO FEES WERE PAID.
Some jurisdictions do not allow certain limitations; in that case, limitations apply to the greatest extent permitted.
13) Indemnification
Customer will indemnify and hold harmless ScriptFinder and its officers, directors, employees, and contractors from and against third-party claims arising from:
Customer Content;
Customer’s use of the Service or Outputs; or
Customer’s breach of these Terms.
ScriptFinder will promptly notify Customer of any claim and cooperate at Customer’s expense.
14) Term; Suspension; Termination
These Terms remain in effect while you use the Service.
We may suspend or terminate access:
for security reasons;
for violation of these Terms; or
where required by law.
Upon termination, Customer’s right to use the Service ceases. Sections that by their nature should survive will survive (including IP, disclaimers, limitation of liability, and indemnification).
15) Compliance and Export
You agree to comply with all applicable laws, including data protection laws and export control laws, where applicable.
16) Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in Los Angeles, California, unless the parties agree otherwise in writing. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property or unauthorized access.
17) Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the website and update the “Last Updated” date. Continued use of the Service after changes become effective constitutes acceptance.
